November 2004 “Pump Up the Volume” Terms and Conditions of Participation

The following terms and conditions apply to the "Pump Up the Volume" Promotion (hereafter the "Promotion"), which begins November 1st 2004, and concludes November 15th, 2004. The Promotion shall be conducted by Cyberheat Inc. (herafter "CHI") via CHI's Topbucks.com Advertising Affiliate Program (hereafter the "TopBucks Program")

Structure of the Promotion:
For all eligible accounts (see “Eligible Accounts” below), for the duration of the Promotion, the TopBucks Program shall pay an additional fifteen US Dollars (USD $15.00) per sale referred above and beyond the number of sales referred through that same account during the October 1st through 15th pay period. For example, if an account that referred 10 sales during the October 1st through 15th pay period sends 15 sales during the November 1st through November 15th pay period, 5 sales would have an additional $15 USD added to the commission amount for that sale. (See “Dispersal of Bonus Payment” and “Payout Structure Table” below.)

This Promotion applies only to sales made to the TopBucks Program subscription adult site products; sales referred to the software products offered on the TopBucks Program will not be paid an additional $15 per sale during the Promotion.

A maximum of 200 sales will be paid at the bonus rate. If sales through an eligible account for the November 1st - 15th pay period exceed sales from October 1st - 15th pay period for the same account by greater than 200 sales, sales past the 200th sale shall be paid at the standard per signup rate.

The Promotion begins at 12:00am Pacific Standard Time on November 1st 2004, and concludes at 11:59pm on November 15th, 2004.

Definition of "Eligible Accounts":
No accounts established after 10/15/2004 shall be eligible for the Promotion.

Only one account per individual or company shall be deemed eligible for the Promotion.

For individuals/companies with multiple accounts on the TopBucks Program, the account that sent the greatest number of sales during the October 1st through October 15th pay period shall be deemed the eligible account.

Only accounts being compensated on a “per signup” basis are eligible for the Promotion. Accounts being paid on a “recurring revenue share” basis are not eligible for the Promotion.

Any accounts that have been suspended or terminated from the Program for fraudulent activity, spamming or any other reason for termination are not eligible for the Promotion.

Dispersal of Bonus Payment:
All eligible accounts/affiliates that meet the requirements of the Promotion shall have the applicable bonus amount added to the sum of their earnings for the pay period of November 1st - November 15th 2004. The checks, wire transfers, direct deposits and ePassporte payments for the November 1st - November 15th pay period will be sent out no later than November 22nd, 2004.

The bonus amount is based on a comparison of the total number of sales referred to adult sites on the TopBucks Program through given affiliate’s account for the October 1st through October 15th pay period vs. the total number of sales referred to TopBucks’ adult sites during the November 1st through November 15th pay period.

Payout Structure Table:
The TopBucks Program offers a variety of commission levels, depending on factors such as the linking method used, the product offered, etc. The following Payout Structure Table specifies the commission offered for each applicable variety of product and linking method included in the Promotion:
